Sales Terms and Conditions (The “Conditions”)

  1. These Conditions shall apply to the exclusion of all other Conditions.
  2. In these Conditions ‘the Seller’ means PP Systems; ‘the Buyer’ means the person, firm or company that buys or agrees to buy the Goods; ‘the Goods’ means such equipment as is sold to Buyer by Seller.
  3. Prices do not include state and local taxes, VAT, import or other government charges or duties where applicable. These charges are the responsibility of the Buyer and the Buyer is responsible for providing tax exemption certificate if applicable.
  4. Formal quotations and proforma invoices are available on request either direct from PP Systems or through authorized distributors only. Quotes and proforma invoices are normally provided on ex-works pricing. However, we are happy to provide CIF (Cost, insurance & freight) quotes as well if required.
  5. Prices are subject to change without notice. The Seller’s minimum order value is $50.00.
  6. Delivery and insurance costs are the responsibility of the Buyer. These costs will be prepaid and added to the invoice if applicable. The Seller will determine the shipping method. Any dates quoted for the delivery of Goods are approximate and time for delivery shall not be of the essence.
  7. Risk of damage to or loss of Goods shall pass to the Buyer as from the date of dispatch of the Goods from the Seller’s premises.
  8. Unless other terms have been agreed, prices are based on payment terms of Net 30 days from the date on the Seller’s invoice and amounts not paid when due shall carry interest at the rate of 3% per month from the due date until paid.
  9. Any bank charges relating to payment transfers and currency exchange are the responsibility of the Buyer. Payments of less than $1,000.00 should be made by Bankers Draft in U.S. Dollars ($) and drawn from a U.S. bank.
  10. Title to the Goods shall not pass to the Buyer until the Seller has received payment in full of the price for the Goods.
  11. Until such time as the title to the Goods passes to the Buyer, the Buyer shall hold the Goods as the Seller’s fiduciary agent and bailee, and properly stored, protected and insured. Until that time, the Buyer shall be entitled to re-sell or use the Goods in the ordinary course of its business, but shall account to the Seller for the proceeds of the sale of the Goods and shall keep all such proceeds separate from any monies or property of the Buyer and third parties.
  12. The Seller shall not accept liability for shortages in quantity delivered or for damage to Goods delivered unless notified in writing within 14 days from delivery of the Goods to the Buyer, or for non-delivery of Goods unless notified within 14 days of the Date of shipment.
  13. The Buyer shall be responsible for complying with any legislation or regulations governing the importation of Goods into the country of destination and for the payment of any duties thereon.
  14. Except as provided in paragraph 17 below, the Seller warrants the Goods to be free from defects in materials or workmanship for one year from the invoice date. This is provided that the Goods are properly installed, operated, serviced and maintained, in accordance with the Seller’s written instructions.
  15. The warranty excludes all defects in the Goods caused by incorrect operation or maintenance; misuse; alteration; accident; transportation. The warranty also excludes pumps and batteries.
  16. If a fault covered by this warranty does occur then the Buyer is responsible for returning the Goods to the Seller if required for either repair or replacement of the defective part(s).
  17. Seller makes no representation or warranty of any kind or nature with respect to any Goods sold by the Seller acting solely as a distributor.
  18. Seller’s liability for any Goods sold to the Buyer shall be limited to the price paid therefore and the Seller shall not be liable, under any circumstances, for any consequential, indirect or punitive damages or loss of profits of any kind or nature.
  19. Return Policy. Equipment may be returned to the Seller within 30 days of the invoice date with prior authorization from the Seller. The items being returned must be in a “New” state and a 15% restocking fee will be charged for all items returned. The buyer is responsible for all shipping and insurance related charges.
  20. An optional two year extended warranty (Part No. WARxxx) is available from PP Systems on some products. It extends the standard warranty from 1 to 3 years from the date of invoice. All extended warranties are based on an agreement between PP Systems and the Buyer (no agents involved). It excludes all defects in the goods caused by incorrect operation, maintenance, misuse, alteration, accident or transportation. Includes one return to PP Systems for general service, maintenance and recalibration which must take place within 3 years from date of invoice. The Buyer is responsible for all shipping and customs related charges. Warranties are not transferable.
